DressWise Kit User Agreement

1. Parties and Scope

This User Agreement ("Agreement") is entered into between you and Hangzhou Hanguang Technology Co., Ltd. ("Hanguang," "we," "us," or "our") and governs your access to and use of the DressWise Kit mobile application, website, software, related features, content, and services (collectively, "DressWise Kit" or the "Services").

DressWise Kit provides wardrobe management, outfit recording, AI-assisted styling suggestions, virtual try-on or image-based styling features, fashion content, and related services. Some features may be subject to additional terms, rules, or notices. If additional terms apply to a specific feature, those terms form part of this Agreement.

2. Eligibility and Accounts

You must have the legal capacity required by the laws applicable to you to enter into this Agreement. If you are under 18 years old, you may use DressWise Kit only with the consent and supervision of your parent or legal guardian.

You may need to register or log in to use certain features. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for activities that occur under your account, except where caused by our fault or as otherwise provided by law.

You must not register accounts maliciously, create accounts in bulk, use automated methods to obtain accounts, impersonate others, or use another person's account without authorization.

3. License to Use DressWise Kit

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, access, and use DressWise Kit for lawful personal or commercial purposes, including business and e-commerce use, subject to any applicable plan, payment, feature, and usage limits.

If you obtain DressWise Kit through the Apple App Store, your license is limited to use on Apple-branded products that you own or control and as permitted by Apple's usage rules, including Family Sharing or volume-purchase rules where applicable. If you obtain DressWise Kit through Google Play or another authorized app store, your use is also subject to that app store's applicable rules.

We and our licensors reserve all rights not expressly granted to you under this Agreement.

4. Restrictions

You agree that you will not, and will not assist any third party to:

• copy, modify, translate, adapt, or create derivative works of DressWise Kit except as expressly permitted by law or this Agreement;
• reverse engineer, decompile, disassemble, decode, or attempt to derive the source code or underlying models of DressWise Kit, except to the extent such restriction is prohibited by applicable law;
• remove, alter, or obscure any copyright, trademark, or proprietary notices;
• rent, lease, sell, sublicense, distribute, publish, assign, or otherwise transfer DressWise Kit or your account;
• interfere with, disrupt, overload, or compromise DressWise Kit or any related systems;
• use plug-ins, external tools, bots, scripts, crawlers, or unauthorized interfaces to access or control DressWise Kit;
• use DressWise Kit to infringe any intellectual property, privacy, publicity, or other rights of any person;
• upload unlawful, harmful, fraudulent, misleading, defamatory, obscene, violent, discriminatory, harassing, or otherwise objectionable content; or
• use DressWise Kit in violation of applicable laws, regulations, app store rules, or this Agreement.

5. User Content

"User Content" means photos, wardrobe information, style preferences, body or fit information, text, prompts, feedback, and other materials that you upload, submit, create, or provide through DressWise Kit.

You retain ownership of your User Content. You represent that you have all rights and permissions necessary to provide the User Content and to allow us to process it as described in this Agreement and our Privacy Policy. If User Content contains another person's image, personal information, or rights-protected content, you must obtain that person's valid authorization before uploading it.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and adapt your User Content solely as necessary to provide, maintain, secure, troubleshoot, and improve DressWise Kit, and as otherwise permitted by our Privacy Policy or your consent. We will not use your personal photos or likeness for public marketing without your separate consent.

6. AI Features and Styling Output

DressWise Kit may use artificial intelligence and image-processing technologies to provide outfit suggestions, wardrobe analysis, virtual try-on previews, fashion content recommendations, weather-based styling tips, or other generated output ("AI Output").

AI Output is provided for informational and styling-reference purposes only. It may be inaccurate, incomplete, unavailable, or unsuitable for your personal circumstances. Colors, garment fit, body proportions, textures, availability, prices, and visual effects shown in virtual try-on or generated previews may differ from real-world results.

You are responsible for your own decisions, including purchasing decisions, health and safety considerations, and whether a suggested outfit is appropriate for a particular occasion. DressWise Kit does not provide medical, professional, financial, or legal advice.

Subject to applicable law, third-party rights, and this Agreement, you may use AI Output generated from User Content that you lawfully provide for personal or commercial purposes, including e-commerce listings, advertising, marketing, and other business uses. You are responsible for ensuring that your User Content and intended use of AI Output do not infringe third-party rights or violate applicable law.

We may use de-identified, aggregated, or otherwise legally permitted data to maintain, analyze, and improve our Services. If we seek to use personal information or uploaded images for model training beyond what is necessary to provide the Services, we will do so only as described in our Privacy Policy and where required by law, with your consent or an available opt-out.

7. Privacy

We process personal information in accordance with the DressWise Kit Privacy Policy. The Privacy Policy explains what information we collect, how we use it, how we share it, how long we retain it, and what choices and rights you may have.

If there is any inconsistency between this Agreement and the Privacy Policy regarding personal information processing, the Privacy Policy will apply to that subject matter.

8. Third-Party Services

DressWise Kit may include links to, integrations with, or content from third-party services, such as app stores, payment providers, cloud infrastructure, analytics providers, advertising or marketing partners, fashion content providers, e-commerce platforms, or social media services.

Third-party services are operated by their respective providers and may be subject to separate terms and privacy policies. We are not responsible for third-party products, services, content, availability, transactions, returns, fulfillment, or customer support, except to the extent required by applicable law.

9. Fees, Purchases, and Subscriptions

Some DressWise Kit features may be free, while others may require payment, subscription, in-app purchase, or another form of authorization. Prices, renewal rules, cancellation rules, refunds, and payment processing may be governed by the applicable app store or payment provider in addition to notices presented in DressWise Kit.

Unless required by law or the applicable app store rules, paid fees are not refundable after the relevant service has been delivered or the relevant subscription period has begun.

10. Intellectual Property

DressWise Kit, including its software, interfaces, design, text, images, logos, trademarks, algorithms, and other materials, is owned by Hanguang or its licensors and is protected by intellectual property laws. You may not use our names, trademarks, logos, or branding without our prior written consent.

If you provide suggestions, comments, or other feedback about DressWise Kit, you agree that we may use that feedback to improve our products and services without payment or obligation to you, provided that we do not identify you publicly without your consent.

11. Service Changes, Suspension, and Termination

We may update, modify, suspend, or discontinue some or all of DressWise Kit from time to time for reasons including product improvement, security, legal compliance, operational needs, or changes in business strategy. Where required by law, we will provide appropriate notice.

You may stop using DressWise Kit at any time and may delete the application from your device. Account deletion, if available, may be requested through in-app settings or by contacting us.

We may suspend or terminate your access to DressWise Kit if you materially breach this Agreement, create security or legal risk, infringe third-party rights, or use DressWise Kit in a way that may harm us, other users, or the Services. Upon termination, your right to use DressWise Kit will cease immediately.

12. Warranty Disclaimer

To the maximum extent permitted by applicable law, DressWise Kit is provided on an "as is" and "as available" basis. We do not warrant that DressWise Kit will be uninterrupted, error-free, secure, accurate, complete, or suitable for your particular needs, or that defects will be corrected.

Nothing in this Agreement excludes or limits any rights that cannot be excluded or limited under applicable consumer protection or other mandatory laws.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Hanguang and its affiliates, directors, employees, agents, partners, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities, arising from or related to DressWise Kit or this Agreement.

To the maximum extent permitted by applicable law, our total liability for all claims arising from or related to DressWise Kit or this Agreement will not exceed the greater of: (a) the amount you paid to us for the relevant DressWise Kit service during the six months before the event giving rise to the claim; or (b) USD 50. The above limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.

14. App Store Terms

If you downloaded DressWise Kit from the Apple App Store, you and we acknowledge that this Agreement is between you and Hanguang, not Apple. We are solely responsible for DressWise Kit and its content, subject to this Agreement and applicable law.

Apple has no obligation to provide maintenance or support services for DressWise Kit. If DressWise Kit fails to conform to any applicable warranty that cannot be disclaimed, you may notify Apple, and Apple may refund the purchase price, if any, according to its policies. To the maximum extent permitted by law, Apple has no other warranty obligation for DressWise Kit.

We, not Apple, are responsible for addressing claims relating to DressWise Kit, including product liability claims, legal or regulatory claims, consumer protection claims, and claims that DressWise Kit infringes third-party intellectual property rights. Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement and may enforce this Agreement against you as a third-party beneficiary.

You must comply with applicable third-party terms when using DressWise Kit. You also represent that you are not located in a country or region subject to applicable embargoes or sanctions prohibiting your use of DressWise Kit, and that you are not listed on any applicable prohibited-party list.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the People's Republic of China, without regard to conflict-of-law principles and excluding the United Nations Convention on Contracts for the International Sale of Goods.

The place where this Agreement is signed is Gongshu District, Hangzhou, Zhejiang Province, People's Republic of China. Any dispute arising from or related to this Agreement or DressWise Kit shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the competent people's court at the place where this Agreement is signed, unless applicable law requires otherwise.

16. Changes to this Agreement

We may update this Agreement when required by law, when our Services change, or for operational, security, or business reasons. We will make the updated version available through DressWise Kit, our website, app store page, pop-up notice, push notification, email, or another reasonable method. If you continue using DressWise Kit after the updated Agreement takes effect, you will be deemed to have accepted the updated Agreement, except where applicable law requires separate consent.

17. Miscellaneous

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign this Agreement without our prior written consent. We may assign this Agreement as part of a merger, acquisition, restructuring, or transfer of assets, subject to applicable law.
